This Agreement ("Agreement") is made and entered into by and between Global Law Lists.org, a digital directory listing platform that is wholly owned and operated by Basnet Attorneys and Weblaya Digital Bhutan (the "Platform Owner"), and the Client, referred to as either "You" or "Client", collectively referred to as the "Parties."
1. DEFINITIONS
1.1 "Client" refers to any person, law firm, corporation, or entity entering into a contractual agreement with Global Law Lists.org for the purpose of utilizing advertising, directory listings, awards programs, or any other service(s) offered.
1.2 "Services" means all products and services provided by Global Law Lists.org, including but not limited to directory listings, digital advertising, awards programs, and additional services as defined in individual agreements or proposals.
1.3 "Website" denotes the official website of Global Law Lists.org and all content accessible therein.
2. SCOPE OF SERVICES
2.1 Global Law Lists.org agrees to render the Services as outlined in any signed proposal or agreement, including but not limited to advertisements, listings, and awards recognition.
2.2 The Client agrees to furnish all requisite materials for the provision of the Services, including logos, images, text, and other relevant content, on or before the agreed-upon deadlines.
3. ADVERTISING AND CONTENT PRODUCTION
3.1 The Client is responsible for providing all necessary materials required for the Services within the specified timeframe. Failure to do so grants Global Law Lists.org the right to develop and create the content at its discretion, with the associated costs borne by the Client.
3.2 Upon completion of the content, Global Law Lists.org will send a proof via email, allowing the Client 48 hours to approve, amend, or cancel the content.
3.3 If the Client fails to respond within the allotted 48 hours, the content will be deemed approved and finalized. Cancellations will not be accepted beyond this period, except under circumstances where the publication has not yet commenced production.
3.4 The Client shall remain liable for full payment of the invoice, even in cases of cancellation beyond the 48-hour window if the content is ready for publication.
4. PAYMENT TERMS
4.1 All payments shall be due immediately upon receipt of the invoice issued by Global Law Lists.org, unless otherwise stipulated in the agreement.
4.2 In the case of payments by wire transfer, the payment must be confirmed within 10 business days of the invoice date.
4.3 Global Law Lists.org reserves the right to suspend any service or listing if payment is not confirmed within the designated period, and may mark the Client’s profile as "SUSPENDED" until full payment is made.
4.4 Non-payment may result in legal action being taken to recover outstanding amounts, including all costs associated with such recovery.
5. CANCELLATION POLICY
5.1 The Client must submit any cancellation request in writing within 24 hours of making the initial booking or within 48 hours of receiving the content proof.
5.2 If cancellation is requested after the proof has been finalized but before production has begun, the Client remains responsible for the full payment of the invoice.
6. UPDATING LAW FIRM INFORMATION
6.1 Clients with active subscriptions are entitled to unlimited updates to their listings at no additional cost.
6.2 Clients without active subscriptions may request updates for a fee or subscribe to a membership plan that includes free updates.
7. CLIENT'S OBLIGATIONS
7.1 The Client agrees to respond promptly to all communications regarding their listings, participation in awards, or any other programs offered by Global Law Lists.org.
7.2 The Client further agrees to ensure that all content provided for use in listings or advertisements is accurate, lawful, and complies with applicable regulations.
8. DELIVERY OF NON-DIGITAL GOODS
8.1 Global Law Lists.org assumes no responsibility for lost, stolen, or undelivered physical goods provided that the shipping details match the Client’s information on file.
8.2 Should a re-shipment be necessary due to non-delivery, the Client will bear all associated costs.
8.3 In the event of goods arriving damaged, Global Law Lists.org will replace the damaged items at no additional cost, provided the claim is made within five working days of delivery.
9. USE OF THE WEBSITE
9.1 The Client is authorized to use the Website for personal purposes and may print or download materials for non-commercial use, provided that no alterations are made without prior consent.
9.2 Reproduction of any Website content without written permission from Global Law Lists.org is strictly prohibited.
9.3 Global Law Lists.org strives to ensure constant access to the Website but shall not be held responsible for any interruptions, downtime, or technical failures outside of its control.
10. VISITOR CONDUCT
10.1 All submissions made by the Client to the Website shall be treated as non-confidential and non-proprietary unless specifically covered by the Platform’s Privacy Policy.
10.2 The Client is prohibited from posting unlawful, harmful, or inappropriate content on the Website and agrees to comply with all applicable legal standards.
10.3 Global Law Lists.org will cooperate with law enforcement authorities if required by law in relation to any unlawful conduct or material submitted by the Client.
11. LINKS TO THIRD-PARTY WEBSITES
11.1 While links to third-party websites may be provided for convenience, Global Law Lists.org is not responsible for the content or functionality of any linked external sites.
11.2 Linking to the Website without prior written consent from Global Law Lists.org is prohibited and may result in legal action.
12. DISCLAIMER
12.1 Global Law Lists.org endeavors to ensure the accuracy of the content on the Website but does not guarantee its completeness or error-free nature.
12.2 The Platform reserves the right to update or change Website content at any time without prior notice.
13. LIMITATION OF LIABILITY
13.1 Under no circumstances shall Global Law Lists.org be held liable for any damages, whether direct, indirect, or consequential, arising from the use or inability to use the Website or the Services.
13.2 This limitation of liability does not apply to claims involving fraud, negligence resulting in death or personal injury, or any other liability that cannot be excluded under applicable law.
14. TERMINATION
14.1 Global Law Lists.org reserves the right to suspend or permanently terminate any Client’s participation in its services or listings for violations of this Agreement, international law, or human rights standards.
14.2 Any termination will be communicated publicly via press release and/or social media platforms.
15. GOVERNING LAW AND JURISDICTION
15.1 This Agreement shall be governed by the laws of the Kingdom of Bhutan.
15.2 The courts of Bhutan shall have exclusive jurisdiction over any disputes arising under or in connection with this Agreement.
